Welcome to Immediate Bitwave. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Immediate Bitwave ("we," "us," or "our") governing your use of our cryptocurrency trading platform and related services.

By accessing or using Immediate Bitwave, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and Disclaimer. If you do not agree with any part of these Terms, you must not use our platform.

1. Acceptance of Terms

By creating an account, accessing the platform, or using any of our services, you confirm that:

• You are at least 18 years of age (or the age of majority in your jurisdiction)
• You have the legal capacity to enter into a binding contract
• You are not prohibited by law from using cryptocurrency trading services
• You will comply with all applicable laws and regulations in your jurisdiction
• All information you provide to us is accurate, current, and complete

These Terms apply to all users of Immediate Bitwave, including visitors, registered users, and any other persons or entities that access or use our services.

2. Description of Services

Immediate Bitwave provides an AI-powered cryptocurrency trading platform that enables users to engage in automated trading of digital assets including Bitcoin, Litecoin, and other supported cryptocurrencies.

Our Services Include:

• Automated trading algorithms powered by artificial intelligence and machine learning
• Real-time market analysis and trading execution
• Account management tools and performance analytics
• Customer support and educational resources
• Mobile and desktop platform access

Important Understanding:

Immediate Bitwave acts as a technology platform connecting users with partner cryptocurrency brokers and exchanges. We facilitate automated trading but do not ourselves act as a broker, exchange, or financial advisor. Trading is executed through our licensed partner brokers in accordance with applicable regulations.

3. Account Registration and Security

Account Creation

To use Immediate Bitwave services, you must create an account by providing accurate and complete information including your name, email address, phone number, and other required details. You agree to:

• Provide truthful, accurate, and current information
• Maintain and promptly update your account information
• Complete any required verification processes, including identity verification (KYC)
• Maintain only one account (duplicate accounts may be closed without notice)

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Choose a strong, unique password and keep it confidential
• Enable two-factor authentication when available
• Never share your account credentials with anyone
• Notify us immediately of any unauthorized access or security breach
• Log out of your account when using shared or public devices

We are not liable for any loss or damage arising from your failure to protect your account credentials or from unauthorized access to your account that results from your actions or negligence.

Account Verification

As required by anti-money laundering (AML) and Know Your Customer (KYC) regulations, you must complete identity verification before fully accessing our services. This process may require:

• Government-issued identification documents
• Proof of residential address
• Additional documentation as needed for compliance purposes

We reserve the right to request additional verification information at any time and to restrict account access until verification is complete.

4. Trading and Financial Risks

Risk Acknowledgment

By using Immediate Bitwave, you acknowledge and accept the following risks:

• Market Volatility: Cryptocurrency prices can fluctuate dramatically and unpredictably
• No Guaranteed Returns: Past performance does not guarantee future results; losses are possible
• Algorithmic Limitations: AI trading algorithms cannot eliminate risk or guarantee profitability
• Technical Risk: System failures, connectivity issues, or errors may impact trading
• Regulatory Risk: Changes in regulations may affect cryptocurrency markets or platform operations
• Liquidity Risk: Market conditions may prevent execution of trades at desired prices

Your Trading Decisions

You are solely responsible for:

• Determining whether cryptocurrency trading is appropriate for your financial situation
• Setting your trading parameters, risk tolerance, and investment amounts
• Understanding how the AI trading algorithm operates
• Monitoring your account activity and trading performance
• Making informed decisions about deposits, withdrawals, and trading strategies

We provide trading tools and technology but do not provide investment advice or recommendations. All trading decisions are ultimately yours.

5. Fees and Payments

Trading Fees

Immediate Bitwave may charge fees for trading services, which will be clearly disclosed before you complete transactions. Fees may include:

• Trading commissions or spreads
• Deposit and withdrawal fees
• Currency conversion fees (if applicable)
• Inactivity fees (after prolonged periods of no trading activity)

Fees are subject to change with reasonable notice provided to users. Current fee structures are available on our platform and upon request.

Deposits and Withdrawals

You may fund your account using accepted payment methods, which may include bank transfers, credit/debit cards, and electronic payment systems. Withdrawal requests are typically processed within 24-48 hours, though actual receipt times depend on payment method and financial institution processing.

We reserve the right to:

• Set minimum and maximum deposit and withdrawal amounts
• Request additional verification for large transactions
• Delay or deny suspicious transactions for security or compliance reasons

Taxes

You are solely responsible for determining, reporting, and paying any taxes applicable to your cryptocurrency trading activities in your jurisdiction. We may report transaction information to tax authorities as required by law.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the platform for money laundering, terrorist financing, or other illegal activities
• Providing false, inaccurate, or misleading information
• Accessing another user's account without authorization
• Attempting to manipulate, interfere with, or damage the platform
• Using bots, scripts, or automated tools except as explicitly permitted
• Reverse engineering, decompiling, or attempting to extract source code
• Violating applicable laws, regulations, or third-party rights
• Engaging in fraudulent or deceptive practices
• Harassing, threatening, or abusing other users or our staff
• Using the platform in any way that could harm Immediate Bitwave's reputation or operations

Violation of these prohibitions may result in immediate account suspension or termination, forfeiture of funds, and potential legal action.

7. Intellectual Property Rights

All content, features, and functionality on the Immediate Bitwave platform, including but not limited to text, graphics, logos, icons, images, software, and algorithms, are owned by Immediate Bitwave or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your personal trading purposes in accordance with these Terms. This license does not permit you to:

• Copy, modify, distribute, or create derivative works from our content or software
• Use our trademarks, logos, or branding without written permission
• Remove or alter any copyright, trademark, or proprietary notices
• Commercially exploit any platform content without authorization

Unauthorized use of our intellectual property may result in account termination and legal consequences.

8. Account Suspension and Termination

Our Rights to Suspend or Terminate

We reserve the right to suspend, restrict, or terminate your account at any time, with or without notice, for reasons including but not limited to:

• Violation of these Terms or other applicable policies
• Suspicious or fraudulent activity
• Failure to complete verification requirements
• Requests from law enforcement or regulatory authorities
• Extended period of account inactivity
• Risk management or security concerns
• Our determination that your use of the platform poses legal or reputational risk

Your Right to Terminate

You may close your account at any time by contacting customer support. Upon account closure:

• You must withdraw all funds from your account (subject to applicable fees and minimum withdrawal requirements)
• We will cease providing services to you
• We may retain certain information as required by law or for legitimate business purposes

Effect of Termination

Upon termination of your account for any reason:

• Your access to the platform and services will be immediately revoked
• Any outstanding obligations you have under these Terms will survive
• We may retain records of your account activity for legal and regulatory compliance
• Funds in your account may be held pending resolution of outstanding issues, disputes, or legal requirements

9. Disclaimers and Limitations of Liability

Platform "As Is"

Immediate Bitwave is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not guarantee that:

• The platform will be uninterrupted, secure, or error-free
• Defects will be corrected promptly or at all
• The platform is free from viruses or other harmful components
• Results obtained from using the platform will be accurate or reliable

Limitation of Liability

To the fullest extent permitted by applicable law, Immediate Bitwave and its officers, directors, employees, affiliates, and partners shall not be liable for:

• Any direct, indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Trading losses or missed opportunities
• Damages resulting from unauthorized access to your account
• Damages resulting from platform downtime, errors, or technical issues
• Damages caused by third parties, including partner brokers or exchanges

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability is limited to the maximum extent permitted by law.

Maximum Liability

In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount you paid to Immediate Bitwave in fees during the twelve (12) months preceding the event giving rise to liability.

10. Indemnification

You agree to indemnify, defend, and hold harmless Immediate Bitwave, its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the platform
• Your violation of these Terms
• Your violation of any rights of third parties
• Your violation of applicable laws or regulations
• Any information or content you submit or transmit through the platform

This indemnification obligation survives termination of your account and your use of the platform.

11. Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of Canada and the Province of Ontario, without regard to conflict of law principles.

Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of Immediate Bitwave shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify.

Arbitration shall be conducted by a single arbitrator in accordance with the rules of a recognized arbitration organization. The arbitration will take place in Toronto, Ontario, Canada, or another mutually agreeable location.

Class Action Waiver

You agree to resolve disputes with Immediate Bitwave on an individual basis only and waive any right to participate in class actions, class arbitrations, or representative proceedings.

Exceptions

Notwithstanding the arbitration provisions above, either party may seek equitable relief in court to protect intellectual property rights or prevent unauthorized use of the platform.

12. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Immediate Bitwave regarding use of the platform and supersede all prior or contemporaneous communications and proposals.

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the platform. Your continued use of Immediate Bitwave after changes take effect constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative.

Assignment

You may not assign or transfer these Terms or your account to any third party without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

Force Majeure

Immediate Bitwave shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, government actions, internet failures, or computer attacks.

Survival

Provisions that by their nature should survive termination of these Terms shall survive, including but not limited to warranty disclaimers, indemnity obligations, limitations of liability, and dispute resolution provisions.
